School Service Agreement

SCHOOL SERVICE AGREEMENT

This School Service Agreement ("Agreement") is between WriteWise Ltd, a New Zealand company ("WriteWise", "we", "us"), and the school or educational institution identified in the Order Form or sign-up process ("School", "you"). This Agreement governs the provision of the WriteWise platform and related services (the "Service") to the School and its authorised users.

1. Service

WriteWise will provide the Service to the School and its authorised users during the term of this Agreement, in accordance with the features and limits of the plan selected by the School. The Service is provided subject to the School’s compliance with this Agreement.

2. Term and Termination

This Agreement starts on the date the School agrees to it and continues for the subscription period stated in the Order Form, renewing automatically unless either party gives at least 30 days’ written notice before the end of the current period.

Either party may terminate this Agreement immediately by written notice if the other party materially breaches it and fails to remedy the breach within 30 days of notice. Upon termination, the School’s and its users’ access to the Service will end.

3. User Terms of Use

The School acknowledges and agrees that all authorised users must accept and comply with WriteWise's User Terms of Use, available at /terms, as updated from time to time. The School will ensure that all authorised users are aware of and comply with the User Terms of Use, and the School is responsible for any breach of the User Terms of Use by its authorised users.

4. Data Protection and Privacy

(a) Roles: For personal information submitted to the Service by the School or its authorised users, the School is the data controller and WriteWise is the data processor under the New Zealand Privacy Act 2020.

(b) Processing: WriteWise will process personal information only to provide the Service, comply with law, or as otherwise instructed in writing by the School.

(c) Security Controls: All personal information is encrypted in transit using TLS 1.2 or higher and encrypted at rest using AES-256 encryption with keys managed by the underlying cloud provider’s Key Management Service (KMS). WriteWise maintains technical and organisational measures to protect personal information from unauthorised access, disclosure, alteration, or destruction.

(d) Cross-Border Data Transfers (IPP 12): System information is hosted in the Sydney, Australia region, a jurisdiction recognised by the New Zealand Government as providing comparable privacy safeguards under the Privacy Act 2020. Where WriteWise engages sub-processors in other countries, it will ensure they are bound by written agreements requiring them to protect personal information to standards comparable to New Zealand law.

(e) Sub-processors: The School consents to WriteWise using sub-processors to deliver the Service, including:

The School acknowledges that use of the Service necessarily involves these sub-processors, and that the sub-processors’ terms are incorporated into this Agreement by reference.

(f) Breach Notification: In the event of a privacy breach involving personal information processed on behalf of the School, WriteWise will notify the School without undue delay, and no later than 72 hours after becoming aware of the breach, unless prevented by law. The notification will include, to the extent reasonably possible, the nature of the breach, the categories and approximate number of affected individuals, the likely consequences, and the measures taken or proposed to address and mitigate the breach.

5. Fees and Payment

If the Service is provided on a paid basis, the School will pay the fees set out in the Order Form. Fees are payable in New Zealand dollars within 20 days of invoice, unless otherwise stated. All amounts exclude GST.

6. Confidentiality

Each party will keep confidential all non-public information disclosed by the other party in connection with this Agreement, and will use it only for the purposes of exercising rights and performing obligations under this Agreement.

7. Liability

To the maximum extent permitted by law, each party’s total liability arising from or in connection with this Agreement is limited to the total fees paid by the School to WriteWise in the 12 months preceding the claim. Neither party is liable for indirect, consequential, or special loss.

8. Governing Law

This Agreement is governed by New Zealand law. The parties submit to the exclusive jurisdiction of the New Zealand courts.

9. Entire Agreement

This Agreement, together with the User Terms of Use and any applicable Order Form, is the entire agreement between the parties about its subject matter and supersedes all prior discussions, understandings, and agreements.

By signing or electronically accepting this Agreement, the School agrees to be bound by its terms.
